  1. Scope of Products and Services - Cogito Innovations provides hardware, software, and related services as described in applicable proposals, purchase orders, or invoices. Products and services are provided for professional and operational use and are intended to complement, not replace, customer judgment, procedures, or existing systems.

  2. Limited One-Year Warranty - Cogito Innovations warrants that its products will be free from defects in materials and workmanship under normal use for a period of one (1) year from the date of delivery. This warranty does not cover damage resulting from misuse, improper installation, unauthorized modification, accident, neglect, environmental conditions, or use outside of intended operating parameters.

    1. At its discretion, Cogito Innovations will repair or replace defective products covered under this warranty. This warranty is exclusive and in place of all other warranties, express or implied.

  3. Limitation of Liability - To the maximum extent permitted by law, Cogito Innovations shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of data, loss of operations, or mission impact, arising from the use of its products or services.

    1. Cogito Innovations is not responsible for failures or outcomes resulting from third-party systems, integrations, networks, or user decisions. The total liability of Cogito Innovations for any claim shall not exceed the amount paid by the customer for the applicable product or service.
  4. Payment Terms - Invoices are payable within the timeframe stated on the invoice or purchase agreement. Cogito Innovations reserves the right to suspend delivery, support, or services in the event of non-payment.
  5. Intellectual Property and Use - All intellectual property, including designs, software, and documentation, remains the property of Cogito Innovations unless otherwise agreed in writing. Customers are granted a non-exclusive, non-transferable right to use delivered products and documentation for their intended purpose. Reverse engineering, reproduction, or resale is prohibited without written consent.
  6. Governing Law - These Terms and Conditions shall be governed by and construed in accordance with the laws of the United States of America, without regard to conflict of law principles.
  7. Acceptance of Terms - Use, purchase, or acceptance of Cogito Innovations products or services constitutes acceptance of these Terms and Conditions.
